Subscription and License Terms

1. Contracting parties and scope

The seller of the subscription is Sold through Link, LLC (“Link”), a Stripe group company based in the USA. Link accepts your order, processes the payment, calculates and remits sales tax, sends you the confirmation and receipts and answers questions about payment. The terms of Sold through Link, LLC (section “Sold through Link”) also apply to the purchase. The order summary and the payment page also name the seller.

The provider of the software and licensor is me:

I provide the service under the subscription: the app, the activation, updates and help with questions about the app. With the purchase, a license agreement under these terms is concluded between you and me.

The app’s terms of use apply in addition. Where these subscription terms say otherwise, they take precedence. “Consumer” means anyone who takes out the subscription mainly for private purposes (section 13 German Civil Code, BGB).

2. Service

The subscription unlocks the paid features of the vidioo Studio app for macOS for as long as it runs. Which features come with which price is shown in the price overview on vidioo.app and, before you pay, in the order summary. What is shown there at the time of your order is agreed.

During the term I provide the updates needed to keep the app in conformity with the contract, including security updates (section 327f BGB).

System requirement: a Mac with macOS 26 or later. You need an internet connection from time to time for activation and license checks (section 7).

Services of other providers that you use with the app through your own access are not part of the subscription, for example AI models (such as Claude, ChatGPT or Gemini), ElevenLabs, Pexels, xAI or Higgsfield, and the platforms you publish to. These providers bill you directly; their availability is not up to me.

3. Prices and payment

• The prices shown in the price overview and the order summary at the time of your order apply. All prices are final prices including sales tax (VAT).
• The price is due in advance for each billing period. It is charged to the payment method you choose with Link; the payment page shows which methods are available.
• Outside the euro area, the payment page may show the price in your local currency. The amount you confirm there applies.
• If a price includes a free trial, the price overview and the order summary state its length and the price after that. If you cancel before the trial ends, you pay nothing.
• If a payment fails, Link tries again. While it does, the features stay unlocked. If payment ultimately fails, the subscription ends and the activation lapses (section 7).

4. Term and renewal

The subscription starts when the contract is concluded, or with the trial if there is one. The length of a billing period is shown with the price.

• Billing period of one month or less: the subscription renews automatically by one billing period at a time until you cancel. You can cancel at any time with effect from the end of the current billing period.
• Billing period of more than one month: the first term is one billing period; you can cancel at any time with effect from its end. If you do not cancel, the subscription then continues for an indefinite period and can be cancelled at any time with one month’s notice. The price continues to be charged in advance for the full billing period; if the subscription ends before that period is over, you get back the share for the time after the end of the contract once it has ended.

There is no first term longer than two years.

5. Cancellation

You can cancel the subscription in any of these ways:

• Without an account, using the button “Cancel contracts here” at the bottom of every page on vidioo.app. There you state whether you cancel ordinarily or for good cause (with the reason), the date of cancellation, your name and the email address you used for the subscription. You may also enter the license key, but you do not have to. Then you confirm with “Cancel now”.
• Through “Manage subscription” on vidioo.app with your license key; this takes you to Stripe’s customer portal.
• In your Link account at link.com.
• In text form, for example by email to business (at) michael-schuier (dot) de.

If you cancel using the button, you immediately receive an acknowledgement by email at the address you used for the subscription. It contains the content of your cancellation, the date and time of receipt and the day on which the subscription ends.

How the cancellation is carried out. Your cancellation takes effect as soon as it is received. An ordinary cancellation is entered immediately. The acknowledgement contains a link you can use to take it back if you did not mean it. A cancellation for good cause ends the subscription immediately. If you entered the matching license key, this happens right away. Without the key, the acknowledgement contains a link: if you click it, the subscription ends immediately. If you do not, I check the request myself and carry it out after that check, within two working days at the latest. The acknowledgement always goes to the address the subscription was taken out with. If someone else entered your address, you can object with the link “This wasn’t me” in that acknowledgement or by replying to the email; then I carry out nothing. The end of the subscription and any refund are based on the time the cancellation was received.

The right to terminate for good cause (section 314 BGB) remains unaffected.

When the subscription ends, the activation lapses. Your projects and exports stay on your Mac and belong to you.

6. Right of withdrawal

If you are a consumer, you can withdraw from the contract within 14 days. The withdrawal notice explains how. The easiest way is the button “Withdraw from contract” at the bottom of every page on vidioo.app: enter your name and the email address you used for the subscription, optionally the license key and further details on the contract, and send it with “Confirm withdrawal”. You immediately receive an acknowledgement at that address, with its content, date and time.

How the withdrawal is carried out. Your withdrawal takes effect as soon as it is received. If you entered the matching license key, I end the subscription right away and arrange the refund through Link. Without the key, the acknowledgement contains a link: if you click it, this happens immediately. If you do not, I check the request myself and carry it out after that check, within two working days at the latest. If the owner of the address objects with the link “This wasn’t me” or by email, I carry out nothing. The refund is based on the time your withdrawal was received. You can also declare the withdrawal to Link.

The purchase does not ask for your consent to the right of withdrawal expiring early. It therefore remains for the full period, even if you already use the paid features.

7. License and offline use

• For the duration of the subscription you receive the simple, non-transferable right to use the paid features of the app for your own private and professional projects. You may enter the license key on Macs that you use yourself. You may not pass it on, sell it or publish it.
• After payment you receive the license key by email at the address used for the purchase. You enter it in the app under Settings › vidioo Pro or via “Pro freischalten” (unlock Pro). If you lose it, I will send it again on request.
• The app checks the key online at vidioo.app. The response is a signed confirmation that lets the app keep working without internet: until the end of the paid period plus three days, but no longer than 14 days after the last check. After that the app briefly needs an internet connection for a new check. What is transmitted is described in the app privacy policy.
• If the subscription ends through cancellation, withdrawal or failed payment, the next check switches off the paid features, at the latest when the last confirmation expires.
• If a key is evidently being distributed in an abusive way, I may block it. I will let you know by email and issue you a new key as long as your subscription is running. This also works if you tell me that your key has fallen into other hands.

8. Changes to the app

I keep developing the app. During a running subscription I only change paid features for a valid reason, for example because platform or AI provider interfaces have changed, for security reasons or because the law has changed. Such changes cost you nothing extra, and I inform you about them clearly.

If a change impairs your use more than insignificantly, I inform you by email in good time beforehand about the change, its date and your right to end the subscription (section 327r(2) BGB). You can then end the subscription free of charge within 30 days of the information or, if later, of the change (section 327r(3) BGB); you get back any amount paid in excess, pro rata. This does not apply if you can keep using the previous version unchanged without extra cost.

9. Price changes

I do not change the price of your running subscription unilaterally. New prices apply to new subscriptions. If I want to change the price of a running subscription, I will ask you by email at least one month in advance, stating the new price and the day from which it is to apply. It only applies if you expressly agree; silence or continued use do not count as agreement.

If you do not agree, your subscription continues at the previous price. I may then cancel it with effect from the end of a billing period with at least one month’s notice.

10. Defects and liability

If the app or its updates are defective, you have the statutory rights for digital products (sections 327d ff. BGB). Please report defects by email. Liability is governed by section 7 of the terms of use.

11. Contract text, changes, law

You can save or print these terms. Together with the license key I send you the details of your contract, these terms, the withdrawal notice and the model withdrawal form by email; Link sends you the payment confirmation and receipts. The contract language is German; this English version is a translation.

If I change these terms, the changes only apply to your running subscription if you agree to them.

German law applies. If you are a consumer habitually resident in another country, the mandatory consumer protection provisions of that country remain unaffected.

I am neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
